Terms of Sale
Version 1.0 — effective October 3, 2026
These Terms of Sale apply to every quote, order, invoice and purchase from Pendragon Enterprises ("Pendragon", "we", "us") by a business customer ("you"), whether placed on pendragonhq.com, by email, by phone or in person. Software licenses are also governed by the Pulse Software License Agreement (pendragonhq.com/license-agreement), which you accept when you install or activate the software.
1. Who you are buying from

2. Quotes and prices
A quote is valid for 30 days from its date unless it says otherwise. Prices are in U.S. dollars and exclude taxes, which are added where they apply (section 4). Published prices on pendragonhq.com are list prices; a promo code reduces the price only if it is valid for the product and applied at the time of the order, and it appears as its own discount line on your invoice. Codes cannot be combined unless we say so in writing. We may correct obvious errors in a price or quote before we accept your order.
3. Payment
- Software licenses: payment is due at the time of purchase. Your license key and download link are delivered once payment is received.
- Consulting, onboarding, configuration, customisation and training: 50% of the quoted amount is due when you accept the quote, and the balance on completion. Hourly work is billed at our current rate (USD $400 per hour unless your quote states otherwise); work beyond the quoted hours needs your approval and is billed at the same rate. Work starts once the deposit is received.
- Done-for-you packages that include hardware: as stated on your quote.
- We accept check, bank wire and card. Invoices show the amount due and how to pay.
4. Taxes
You are responsible for sales, use and similar taxes on your purchase. We charge sales tax where we are required to collect it, based on where you are located and the nature of what you buy. Pulse is prewritten software delivered electronically; in New Jersey, and in some other states, electronically delivered software used directly and exclusively in the conduct of your business is exempt. If you claim an exemption, you confirm that your use qualifies and will give us any exemption certificate we reasonably request. If a taxing authority later determines tax was due on your purchase, you agree to pay it.
5. Delivery, refunds and cancellations
- Software is delivered electronically: a license key and download link by email. Delivery is complete when we send them.
- Refunds: all software license sales are final. Because a license key works offline the moment it is delivered, and activation cannot be verified or reversed, license fees are non-refundable. If the software does not perform as documented, the remedy is the warranty in the License Agreement: we fix the problem or provide a workaround or replacement.
- Services: you may cancel scheduled services with at least 5 business days' notice; we will refund any deposit for work not yet performed, less any non-refundable costs we incurred for you (for example hardware already ordered). Work already performed is billed at the agreed rate.
6. Professional services
We perform services with reasonable skill and care, in line with the scope on your quote. You will give us timely access, information and decisions; delays on your side may change the schedule and cost. Anything we create specifically for you (for example custom reports, imports or configuration) is licensed to you for use with your copy of the software. We keep ownership of our tools, know-how and anything that becomes part of the general product. If we must access your systems, we do so only as needed to perform the services and keep what we see confidential.
7. AI add-ons
AI features (for example the Xavier AI employee) require a license key that includes AI and an AI service, which we set up on a Linux AI server you own or provide. Your use of the AI service is also subject to the AI provider's terms. Fees for AI setup and any AI subscription are separate from the software license and are shown on your quote.
8. Late payment
If an invoice is not paid when due, we may suspend services until it is paid. We will tell you before we do.
9. Warranty and liability
Software warranties and the limitation of liability are in the License Agreement. For services, if something we did does not match the agreed scope, tell us within 30 days of completion and we will correct it at no charge; that is your sole remedy for defective services. Our total liability for any order is limited to the amount you paid for that order, and neither party is liable for indirect or consequential damages, to the maximum extent permitted by law.
10. General
These terms are governed by New Jersey law; the courts in Bergen County, New Jersey have exclusive jurisdiction. Your purchase order terms do not apply unless we agree to them in writing. If any term is unenforceable, the rest remain in effect. We may update these terms for future orders; the version in force when you place an order applies to that order.
